Job Description

We are currently recruiting for a Paralegal position in Montreal, reporting to the Director, Corporate Services.


Main responsibilities:

  • Preparing documents and handling logistics relating to the Annual Shareholder Meeting and to the Board and Committee meetings of the Corporation and certain of its subsidiaries (including notice of meeting, agenda, Chairman’s Notes, minutes, attendance fees, etc.) 
  • Update of the minute books and registers, and preparation of various resolutions
  • Preparation and filing of various reports to governments (Federal, Provincial and Extra-Provincial Corporate returns, CALURA, etc.) 
  • Assist Legal Counsels in preparation and filing of various compliance-related documentation with regulators in various jurisdictions outside Canada
  • Preparation and filing of various reports to the Toronto Stock Exchange and Insider Reports on SEDI
  • Manage relationship with transfer agent and trustee
  • Preparation of the Management Proxy Circular
  • Update of the corporate database
  • Occasional completion and mailing of different forms and questionnaires to directors and officers
  • Preparation of various transaction-related documents

Requirements:

  • 5-7 years of experience as a corporate and securities paralegal
  • Previous experience working at a public company, a significant asset

Skills:

  • Perfectly bilingual (oral and written), with solid writing skills (French grammar must be impeccable)
  • Strong ethics, professionalism, integrity, confidentiality and discretion
  • Ability to manage stress during periods of intense activity
  • Sound judgment, common sense, proactive, organized, disciplined and detail oriented
  • Should have strong interpersonal skills and be a good team player
  • Must have initiative and be proactive 
  • Ability to adapt quickly to change and be flexible
  • Availability to travel occasionally for Board and committee meetings
  • Knowledge of electronic platform used to manage stock options and share units plans, an asset
  • Knowledge of electronic platform used to share documents with board members and other meeting participants, a significant asset
  • Familiarity with corporate database platform, such as ENACT, an  asset 
  • Very good working knowledge of Microsoft Office tools
